Arkham Sweepstakes Rules
NO PURCHASE NECESSARY.

1. SWEEPSTAKES: The PFL Arkham Sweepstakes (the “Sweepstakes”) begins 10:00 a.m. Eastern Time (“ET”) on April 1, 2025 and ends 11:59 p.m. ET on May 1, 2025 (the “Sweepstakes Period”).

2. ELIGIBILITY: Open to legal residents of the 50 United States and the District of Columbia, who are 18 years of age or older as of date of entry (“Entrant”). Employees of Professional Fighters League, LLC (“Sponsor” or “PFL”), Don Jagoda Associates, Inc. (“Administrator”), Arkham Intelligence Inc. (“Arkham”), their parents, subsidiaries, divisions, affiliates, suppliers, distributors and advertising, promotional and judging agencies and their respective officers, directors, shareholders, members, employees, agents, assigns, and all others associated with the development, evolvement and execution of this Sweepstakes (collectively “Sponsor and its Administrators”) and the immediate family members of each, are not eligible to participate or win. Void where prohibited. All federal, state, and local laws and regulations apply.

3. HOW TO ENTER: At the start of the Sweepstakes Period, @PFLMMA and @Arkham will post a collaboration post on Instagram (the “Site”) announcing the Sweepstakes (“Post”). You may enter at the Site by following the instructions in the Post to comment on the Post, tag a friend, and follow both @PFLMMA and @Arkham to receive one (1) entry (“Entry”) into the random drawing. You must have a public Instagram account to enter. If you do not have an Instagram account, and you would like to create one for free, download the free Instagram app to your mobile device at either the Apple® App Store or the Google® Play store. Potential winner may be required to show proof of being the authorized account holder of the email address associated with Entrant’s Instagram account. Normal Internet access, phone/usage charges imposed by your online/phone service will apply. All Entries become property of the Sponsor.

4. Entry Requirements: Limit one (1) Entry per person during the Sweepstakes Period. The Entry may not contain obscene, profane, lewd, defamatory or inappropriate text including references to acts of violence or acts that appear to cause harm or are illegal/dangerous, as determined at Sponsor’s sole discretion. Any Entry or portion thereof that is, in the Sponsor’s sole discretion, obscene, profane, lewd, defamatory, highlights brand in a negative way, contains any third party materials (other than PFL or Arkham), or otherwise violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased (including, but not limited to, rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable, will not be considered and may disqualify the Entrant. Entrants may not copy or otherwise plagiarize the Entry from any source. All Entries must be the sole, original work of the Entrants. By submitting an Entry, you hereby grant the Sponsor, its affiliates, subsidiaries, assigns, licensees, designees and legal representatives the irrevocable, perpetual, worldwide digital and other rights to use, reproduce, edit, market, store, distribute, have distributed, publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote the Entries or excerpts of Entries (as such may be edited and modified by the Sponsor at its discretion) for editorial, commercial, promotional and all other purposes (including posting on the Site, Sponsor-affiliated websites, Social Media sites and/or other Sponsor-selected media). In addition, you hereby assign to the Sponsor all rights, titles, and interests that you may be deemed to have in any reproduction, product, or derivative work using or incorporating the Entry. You further agree to waive any moral rights in and to the Entry. Automated, script, macro or robotic Entries will be disqualified. Entrant must have permission from anyone depicted in the Entry (if applicable) and if a minor is depicted, it must be the child/charge of Entrant.

5. RANDOM DRAWING: : On or about May 2, 2025, one (1) Grand Prize winner will be randomly selected from among all eligible Entries received. The random drawing will be conducted by the Administrator, whose decisions are final on all matters relating to the drawing. Odds of winning the prize are dependent upon the number of eligible Entries received during the Sweepstakes Period. Prize will be awarded to the selected winner only. Winner will be notified by DM on Instagram (as further described below). Prize is nontransferable and no cash substitutions are allowed except by the Sponsor, who reserves the right to award a prize of equal or greater value if advertised prize is unavailable. Prize may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated, or otherwise conveyed. Winner and all Entrants, as a condition of entry into the Sweepstakes/receipt of prize and winner’s travel companion, agree to release and forever discharge, covenant not to sue, and hold harmless Sponsor and its Administrators from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with submitting an Entry or otherwise participating in any aspect of the Sweepstakes, the receipt, ownership or use of the prize awarded, or any typographical or other error in these Official Rules or the announcement or offering of the prize.

6. PRIZE AND APPROXIMATE RETAIL VALUE (“ARV”):

• Grand Prize (1): A 3-day/2-night trip for two (2) to attend PFL10 in Hollywood, FL on August 21, 2025 ("Event”). Event location is subject to change. Trip includes round-trip economy class air transportation from major airport nearest winner’s residence to specified destination, hotel accommodations for three (3) nights based on double occupancy, ground transfers to/from airport/hotel, two (2) tickets to the Event and a Sponsor-selected VIP experience. Travel will take place on dates surrounding the Event (certain restrictions apply). The ARV of the Grand Prize is $3,200. See Rule #8 for Grand Prize rules.

Acceptance of prize constitutes permission for the Sponsor and its agencies to use the winner’s name, photos and/or likeness and Entry for purposes of advertising and trade without further compensation, including a winner list, unless prohibited by law. Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor and must be used on date specified as long as the date does not change. In the event the Event is cancelled or postponed for reasons outside of the Sponsor’s control, the Sponsor will award a prize (alternate prize or similar prize to a different event) of equal or greater value. Winner is responsible for all applicable taxes and all other costs and expenses associated with the prize not specified herein as being awarded. A 1099 tax form will be filed on the winner’s behalf.

7. GENERAL RULES/WINNER NOTIFICATION: The potential winner will be contacted via a direct message on Instagram from @PFLMMA and will be required to follow the instructions outlined in the direct message within twenty-four (24) hours. The potential winner will then be required to sign and return a Declaration of Eligibility and liability release and assignment of rights and except where prohibited, publicity release within forty-eight (48) hours of notification in order to be confirmed as the Grand Prize winner. Return of direct message or Declaration as undeliverable may result in disqualification and selection of an alternate winner in the manner provided above. The travel companion of the winner will also be required to execute a release of liability within forty-eight (48) hours of notification in order to accompany winner. By entering in the Sweepstakes, Entrants agree to be bound by these Official Rules and the decisions of the Sponsor and Administrator. Sponsor and its Administrators are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any human error which may occur in the processing of the Entries. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the Entry process or the operation of the Site; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Entries generated by script or bot are not eligible. In the event of a dispute as to the identity of an Entrant, the authorized account holder of the email address associated with the Entrant’s Site account will be deemed to be the Entrant. "Authorized account holder" of a Site account is defined as the person who is responsible for joining the Site and who manages the e-mail address associated with the Site Account. The Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Sweepstakes if it is not capable of running as planned, including, but not limited to, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures or any other problems beyond the control of the Sponsor and award the prize from among all eligible Entries received prior to cancellation, if any. Winner and all Entrants, as a condition of entry into the Sweepstakes, agree to release and hold harmless Sponsor and its Administrators, Instagram, and each of their respective affiliates, officers, directors, agents, and employees from any liability or responsibility for any claim arising in connection with participation in the Sweepstakes, or prize awarded. Winner and travel companion assume all liability for any injury or damage caused, or claimed to be caused, by participation in the Sweepstakes, the receipt, ownership or use of prize awarded, any travel or any typographical or other error in these Official Rules or the announcement or offering of the prize. Sponsor is not responsible for any typographical or other error in the printing of the Sweepstakes materials or the offering or announcement of the prize. As a condition of entering the Sweepstakes, Entrant agrees that: 1) under no circumstance will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for out-of-pocket expenses; 2) all causes of action arising out of or connected with the Sweepstakes or the prize awarded, shall be resolved individually, without resort to any form of class action; and 3) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, but in no event, attorneys’ fees. You hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents.

8. Grand Prize Rules: Travel must take place on the dates specified by Sponsor surrounding the Event or prize will be forfeited. Venue and seat locations at Event shall be determined at the sole discretion of the Sponsor. All fees and expenses (such as security fees, gratuities, luggage fees, meals and ground transportation, and incidental charges) related to acceptance and use of the travel prize not specifically stated herein are the sole responsibility of the winner. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Winner and travel companion must travel together on the same itinerary. Seat selection and timing of trip subject to confirmation of reservations. Major credit card required at check-in to cover any incidental charges. Travel companion must be at least 18 and the age of majority in their jurisdiction of residence at time of travel. If the winner elects to travel or participate in the prize travel with no travel companion, no additional compensation will be awarded for the travel companion portion of prize. If the winner elects to travel or participate in prize travel with more than one (1) travel companion, such additional travel companion shall be responsible for any and all costs associated with such travel. Prize winner and travel companion are responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. No refund or compensation will be made in the event of the cancellation or delay of any flight except at the sole discretion of Sponsor. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. Lost, stolen or damaged airline tickets will not be replaced or exchanged. Sponsor shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any air carrier(s) or other transportation companies or any other persons providing any of these services to passengers including any results thereof such as changes in services, lost, stolen or damaged luggage, or accommodations necessitated by same. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the winner's and their travel companion's transportation and such contracts shall be solely between the winner, their travel companion and such transportation companies. All travelers must follow any required COVID or other protocols at time of travel. In the event winner and/or travel companion engages in behavior during travel that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of Sponsor’s services, products, trademarks, service marks, or logos, Sponsor reserves the right to terminate the travel early and/or eject them from the Event, and send the winner and/or travel companion home (at winner/travel companion’s own expense) with no further obligations or compensation whatsoever to winner and/or travel companion (which may, in Sponsor’s sole discretion, result in that winner’s disqualification from the Sweepstakes and forfeiture of prize). In the event winner or travel companion engages in behavior during travel that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects the winner or travel companion to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by winner or travel companion as a result of such conduct. SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY TRAVEL RELATED TO THE PRIZE OR ANY OTHER ASPECT OF WINNER’S OR TRAVEL COMPANION’S ACCEPTANCE OR USE OF THE PRIZE.

9. GOVERNING LAW, JURISDICTION, VENUE AND DISPUTES: SPONSOR IS REGISTERED UNDER THE LAWS OF THE UNITED STATES WITH HEADQUARTERS IN NEW YORK. THE NEW YORK COURTS (STATE & FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SAME. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND HEREBY IRREVOCABLY SUBMITS TO THE VENUE OF THOSE COURTS WITHIN NEW YORK. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants or the Sponsor in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the state of New York, without giving effect to any choice of law or conflict of law rules of provisions (whether of the state of New York, the federal laws or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the laws of New York.

10. PRIVACY: By participating in the Sweepstakes, Entrants hereby agree to Sponsor’s collection and usage of their personal information in accordance with all applicable privacy laws. For Sponsor’s privacy policy, see https://www.pflmma.com/privacy-policy.

11. WINNER: To obtain the winner’s name, send an email to: [email protected] with “PFL Arkham Sweepstakes WINNER & 01-2707-14” in the subject line. Winner’s name will be sent after the prize has been awarded. All requests in regard to the winner must be received by June 16, 2025.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Instagram. You understand that you are providing your information to PFL, and not to Instagram. The information you provide will only be used in the event you are selected as the winner.
