SWEEPSTAKES: The Professional Fighters League Upside App Giveaway (the “Sweepstakes”) begins 9:00 a.m. United States Eastern Time (“ET”) on June 11, 2024 and ends 11:59 p.m. ET on December 10, 2024 (the “Sweepstakes Period”).

ELIGIBILITY: Open to legal residents of the 50 United States and the District of Columbia (“Eligibility Area”), who are at least the age of majority in their jurisdiction of residence as of date of entry (“Entrant”). Employees of Professional Fighters League, LLC (“Sponsor” or “PFL”), Don Jagoda Associates, Inc. (“Administrator”), Upside Services, Inc., their parents, subsidiaries, divisions, affiliates, suppliers, distributors and advertising, promotional and judging agencies and their respective officers, directors, shareholders, members, employees, agents, assigns, and all others associated with the development, evolvement and execution of this Sweepstakes (collectively “Sponsor and its Administrators”) and the immediate family members of each, are not eligible to participate or win. Void outside the Eligibility Area and where prohibited and subject to all applicable laws and regulations.

HOW TO ENTER: There are two ways to enter into the Sweepstakes.

1. Via App: During the Sweepstakes Period, visit pflmma.com/upside (the “Website”), complete all required registration information, download the Upside Application (“app”) to your web-enabled mobile device, create an account and provide code “PFL” where indicated to receive one (1) entry (“Entry”) into the Grand Prize random drawing as well as the corresponding weekly and monthly random drawings and any subsequent weekly and monthly random drawings (if any). Normal Internet/phone access and data/usage charges imposed by your online/phone service may apply.
2. Via Mail: You may earn a Sweepstakes entry (“Entry”) by hand printing your complete name, address, city, state, zip code, date of birth and email address on a plain 3"x 5" piece of paper, inserting it into an envelope, affixing sufficient postage and mailing it, in a hand-addressed envelope, to: The Professional Fighters League Upside App Giveaway, 19 Union Square West New York, NY 10003. Each Entry must be mailed separately, be postmarked by the last day of each week or month to be entered into the Grand Prize random drawing as well as the corresponding weekly and monthly random drawings and any subsequent weekly and monthly random drawings (if any). Entries will carry forward to subsequent weeks and months, if any. Entries must be postmarked by December 11, 2024 and received by December 17, 2024 to be eligible for the final Sweepstakes drawings. No mechanically reproduced mailed Entries permitted. Not responsible for lost, late, illegible, mutilated, postage-due, misdirected Entries, or Entries not received in time for the random drawing.
   
   Entries will carry forward to subsequent weeks and months, if any. For the purposes of this Sweepstakes, a “week” is defined as the 7-day period beginning at 12:00 a.m. ET on Sunday and ending at 11:59 p.m. ET on the following Saturday (and postmarked through the same week and received by 7 days after each postmark date), with the exception of the first week of the Sweepstakes which begins at 9:00 a.m. on Tuesday, June 11, 2024 and ends at 11:59 p.m. ET on Saturday, June 15, 2024 and the last week of the Sweepstakes which begins at 12:00 a.m. ET on Sunday, December 1, 2024 and ends at 11:59 p.m. on Tuesday, December 10, 2024 (mailed Entry deadline included above). The “months” are as follows: Limit one (1) Entry per person, regardless of method of Entry. All Entries become property of the Sponsor and will not be returned. Entries generated by script, macro or other automated means and Entries by any means which subvert the Entry process are void. By submitting an Entry, you agree to the Official Rules and are willing to provide your information to the Sponsor and its agents.

RANDOM DRAWINGS: One (1) Grand Prize winner will be selected in a random drawing on or about December 18, 2024 from among all eligible Entries received overall. One (1) winner per month will be selected in separate random drawings from among all eligible Entries received by the end of each month on or about the following dates: July 18, 2024; August 19, 2024; September 18, 2024, October 18, 2024; November 18, 2024; December 18, 2024. One (1) winner per week [twenty-six (26) total] will be selected in six (6) separate random drawings (based on any weeks included prior to that drawing date) from among all eligible Entries received by the end of each week on or about the following dates: July 18, 2024; August 19, 2024; September 18, 2024, October 18, 2024; November 18, 2024; December 18, 2024. The random drawings will be conducted by the Administrator, whose decisions are final on all matters relating to the drawings. Odds of winning a prize are dependent upon the number of eligible Entries postmarked and received by the end of each week/month/overall (as broken out above). Prizes are nontransferable. Winners and all Entrants, as a condition of entry into the Sweepstakes/receipt of prize, agree to release and forever discharge, covenant not to sue, and hold harmless Sponsor and its Administrators from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with submitting an Entry or otherwise participating in any aspect of the Sweepstakes, the receipt, ownership or use of a prize awarded, or any typographical or other error in these Official Rules or the announcement or offering of a prize.

PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”):

• Grand Prize (1 total): Gas for a year, awarded as a $3,000 check.
• Monthly Prizes (6 – one per month): $500, awarded as a check
• ● Weekly Prizes (26 – one per week):Sponsor-selected PFL merchandise (ARV: $25 each)

Acceptance of prize constitutes permission for the Sponsor and its agencies to use the winner’s name, photos and/or likeness for purposes of advertising and trade without further compensation, including a winners list, unless prohibited by law. In addition, you agree to release of your first name, last initial and city and state of residence as part of a winners’ list. Winners are responsible for all applicable taxes and all other costs and expenses associated with the prize not specified herein as being awarded. You agree to submit any applicable tax forms as a condition of receiving the Grand Prize, and if required, other prizes. A 1099 tax form will be filed on behalf of Grand Prize Winner. No transfer, substitution or cash equivalent permitted by winner.

GENERAL RULES/WINNER NOTIFICATION: The potential Grand Prize winner will be required to sign and return a Declaration of Eligibility and liability release and except where prohibited, publicity release within three (3) days of notification in order to be confirmed as the Grand Prize winner. Potential Monthly and Weekly Prize winners will be emailed and must respond with their mailing address and date of birth to confirm eligibility within three (3) days of attempted notification, or the prize may be forfeited and an alternate winner will be selected. Return of Declaration or prize/email as undeliverable, or if winner is not eligible or does not accept prize, it may result in disqualification and selection of an alternate winner in the manner provided above. By entering in the Sweepstakes, Entrants agree to be bound by these Official Rules and the decisions of the Sponsor. Sponsor and its Administrators are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any human error which may occur in the processing of the Entries. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the Entry process or the operation of any website/app; violates these Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Entries generated by script or bot are not eligible. In the event of a dispute as to the identity of an online Entrant, the authorized account holder of the email address included at time of Entry will be deemed to be the Entrant. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Winners may be required to show proof of being the authorized account holder of the email account associated with the Entry. Prizes are not transferable. Any expenses related to acceptance and use of prize as well as taxes on prize (if any) are winner's sole responsibility. The Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Sweepstakes if it is not capable of running as planned, including, but not limited to, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures or any other problems beyond the control of the Sponsor and award the prizes from among all eligible Entries received for each week/month/overall prior to cancellation, if any. Prize winners and all Entrants, as a condition of entry into the Sweepstakes, agree to release and hold harmless Sponsor and its Administrators, and each of their respective affiliates, officers, directors, agents, and employees from any liability or responsibility for any claim arising in connection with participation in the Sweepstakes, or prize awarded. Prize winners assume all liability for any injury or damage caused, or claimed to be caused, by participation in the Sweepstakes, the receipt, ownership or use of any prize awarded or any typographical or other error in these Official Rules or the announcement or offering of the prizes. Sponsor is not responsible for any typographical or other error in the printing of the Sweepstakes materials or the offering or announcement of the prizes. As a condition of entering the Sweepstakes, Entrant agrees that: 1) under no circumstance will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for out-of-pocket expenses; 2) all causes of action arising out of or connected with the Sweepstakes or the prizes awarded, shall be resolved individually, without resort to any form of class action; and 3) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, but in no event, attorneys’ fees. You hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents.

GOVERNING LAW, JURISDICTION, VENUE AND DISPUTES: Except where prohibited, Sponsor reserves the right to make all decisions in its sole discretion arising out of or relating to the Sweepstakes, and the decisions by Sponsor are final and binding on all matters relating to the Sweepstakes. TO THE FULLEST EXTENT ALLOWABLE UNDER APPLICABLE LAWS, YOU AGREE THAT: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF, OR CONNECTED WITH THE SWEEPSTAKES OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH PARTICIPATION IN THE SWEEPSTAKES, BUT IN NO EVENT ATTORNEYS’ FEES, NOT TO EXCEED $50; AND (C) NOTWITHSTANDING THE FOREGOING, YOU WAIVE THE RIGHT TO CLAIM ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, PUNITIVE, CONSEQUENTIAL, DIRECT, OR INDIRECT DAMAGES. SPONSOR IS REGISTERED UNDER THE LAWS OF THE UNITED STATES WITH HEADQUARTERS IN NEW YORK. THE NEW YORK COURTS (STATE & FEDERAL) OF THE U.S. SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK IN THE U.S. SHALL GOVERN THE SAME. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants or the Sponsor in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the state of New York, without giving effect to any choice of law or conflict of law rules of provisions (whether of the state of New York, the federal laws of the U.S., or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the laws of the state of New York. Unless prohibited by applicable law, Sponsor’s entire liability and your sole and exclusive remedy will be limited to a distribution of the equivalent amount of prizes as set forth above. By participating in the Sweepstakes, you waive any and all rights to bring any claim or action related to such matters in any forum beyond one (1) year after the first occurrence of the kind of act, event, condition or omission upon which the claim or action is based.

DISCLAIMER OF WARRANTIES: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SPONSOR AND ITS ADMINISTRATORS MAKE NO WARRANTIES, AND HEREBY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, CONCERNING ANY PRIZE IN CONNECTION WITH THE SWEEPSTAKES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SPONSOR HEREBY DISCLAIM ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.
